The Material Handling Industry, its Division (Material Handling Industry of America, "MHIA"), and its Affiliates (collectively, hereinafter "Industry" or "Material Handling Industry") provide all information on this World Wide Website (including the underlying HTML files that implement the hypertext features, hereinafter this "Site") exclusively under the following Terms and Conditions:
1. Ownership, License and Restrictions on Usage
1. A. All right, title and interest (including all copyrights, trademarks and other intellectual property rights) in the Site belongs to Material Handling Industry. In addition, the names, images, pictures, logos and icons identifying Industry’s products and services in many countries are proprietary marks of the Material Handling Industry, its Division, or its Affiliates. Except as expressly provided below, nothing contained herein shall be construed as conferring any license or right, by implication, estoppel, or otherwise, under copyright or other intellectual property rights.
1. B. You are hereby granted a nonexclusive, nontransferable, limited license to view, [download,] reproduce, print, and distribute insignificant portions of materials retrieved from this Site provided:
(a) the Site and its information are used only for personal, informational, and non-commercial purposes;
(b) you do not modify any of the materials; and
(c) you do not remove or obscure the copyright notice or other notices.

By submitting information to Industry through this Site, you (1) grant Material Handling Industry, its
Division and its Affiliates the right to use, reproduce, download, print, display, adapt, modify and
distribute the information in any form for any purpose, and (2) warrant and represent that you own or
otherwise control all rights in and to the information and that use of the information by Industry will
not infringe or violate the rights of any third party. Further, Industry shall own all copyright rights in any audiovisual works of seminar sessions and sound recordings of seminar sessions. In addition, information submitted to this Site may be reproduced, republished, copied, transmitted or distributed only by the party submitting the information and only if written notice to the Industry is provided prior to submitting the information. Industry reserves the right to require a submitting party to enter into an appropriate agreement with Industry.
3. Linking and Member Content
3. A. You may provide hot links to this Site provided (a) you do not remove or obscure by framing or otherwise, advertisements, the copyright notice or other notices on this Site, (b) you give Industry notice of such link by sending an email to vwheeler@mhia.org or customer.service@nashow.com, and (c) you discontinue providing hot links to this site if requested to do so by Industry.
3. B. This Site may provide links to other sites on the internet. These sites are not under the control of Material Handling Industry. The inclusion of a link to a site does not imply endorsement or sponsorship of the site by Material Handling Industry, its Division or its Affiliates. or omissions from membership content in the Exhibitor Directory. The inclusion of member content to
the Exhibitor Directory does not imply endorsement of the claims of this content by Material Handling
Industry, its Division or its Affiliates. You acknowledge that Material Handling Industry is not

In those jurisdictions that do not allow the exclusion or limitation of incidental or consequential damages, Industry’s liability in such jurisdictions shall be limited to the extent permitted by law.

8. Governing Law; Jurisdiction
These Terms and Conditions of Use shall be governed by, and construed in accordance with, the laws of the State of North Carolina, USA, as they apply to agreements made and solely performed therein. Disputes arising hereunder shall be exclusively subject to the jurisdiction of the state or federal courts located in the State of North Carolina, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such disputes.
9. Entire Agreement; Severability of Agreement
These Terms and Conditions of Site Usage incorporate by reference any notices contained on this site and constitute the entire agreement with respect to your access to, and use of, this Site. If any provision of these Terms and Conditions is unlawful, void, or unenforceable, then that provision shall be deemed severable from the remaining provisions and shall not affect their validity and enforceability.
